AbbVie (ABBV) has announced the acquisition of Apogee Therapeutics (APGE) for $10.9 billion, offering $135.11 per share. The agreement implies a premium of approximately 50 % relative to the closing price on 19 June. The deal will be the largest acquisition by the US pharmaceutical company in more than five years and will strengthen its portfolio of therapies for inflammatory diseases.
AbbVie is an international biopharmaceutical company specializing in the development of medicines in the fields of immunology, oncology, neurology, and other therapeutic areas. The target asset, Apogee Therapeutics, is a biotechnology company developing biologic drugs for the treatment of atopic dermatitis, chronic obstructive pulmonary disease (COPD), asthma, and other inflammatory conditions.
Freedom Broker analysts note that the agreement reflects growing activity in the pharmaceutical M&A market, as large companies seek to expand their portfolios of promising developments ahead of the expiration of patent protection for key products.
Apogee’s key asset is the experimental drug Zumilokibart, which is being developed for the treatment of atopic dermatitis, asthma, and several other inflammatory diseases. If approved, the therapy could strengthen AbbVie’s position in immunology - the company’s largest business segment.
The need to replenish the product line is linked to declining Humira sales due to competition from biosimilars. At the same time, the company will face the expiration of patent protection for Skyrizi and Rinvoq in the future. In 2025, revenue from AbbVie’s immunology segment exceeded $30 billion, growing by 14 % thanks to increased sales of these drugs.
