Insurance technology company Accelerant Holdings (NYSE: ARX) on Thursday agreed to be acquired by Thoma Bravo in a deal valued at more than $4 billion in cash. The transaction is expected to close in the first half of 2027. Under the terms of the agreement, Class A and Class B shareholders will receive $20.25 per share in cash, representing a 49% premium to the company’s closing share price on August 12.
As a result of the deal, Accelerant will become a private company, and its common shares will no longer trade on the New York Stock Exchange NYSE. The company said that Altamont Capital Partners, the company’s largest investor, and Accelerant’s founders will retain an ownership stake in the company alongside Thoma Bravo following completion of the transaction. The company also noted that entities affiliated with Altamont Capital Partners, which control about 82% of Accelerant’s voting shares, have agreed to support the transaction.
