Raising equity capital will allow Meta Platforms (META) to finance large-scale investments in artificial intelligence with less pressure on debt metrics, according to Freedom Broker analyst Vladimir Chernov. However, an increase in the number of shares may restrain price gains while investors assess the payback from these investments.
Meta owns Facebook, Instagram and WhatsApp, develops advertising technologies and AI-based products. The company plans to raise up to $95 млрд through several share-sale mechanisms. After reports of these plans, its stock at one point in the premarket rose 1.9%.

How Meta plans to raise capital
According to the company’s statement, the initial volume of public offerings will total about $35 млрд. It includes $22.5 млрд of Class A common stock and about $12.5 млрд of depositary shares representing convertible preferred securities.
Meta also intends to raise about $60 млрд through an at-the-market, or ATM, program. It allows the company to gradually sell shares on the exchange at market prices. The program will be tied to non-voting Class C shares; its launch is expected no earlier than Q1 2027. The final terms have not yet been determined, so the stated $95 млрд remains a capital-raising plan. investor.atmeta.com
Less debt pressure, more shares on the market
In Chernov’s assessment, the initial positive investor reaction is driven by reduced risks to Meta’s credit profile. Selling shares allows the company to spread financing for AI investments across multiple sources and limit the need for additional borrowing.
At the same time, issuing new securities reduces existing shareholders’ stake in the company’s capital. If profit does not grow at comparable rates, this could restrain growth in earnings per share. Additional share supply, especially under a large-scale ATM program, may also limit the stock’s short-term upside potential, the analyst notes.
Investors will watch AI returns
Chernov expects heightened volatility in Meta shares in the coming months. Management’s confidence in its AI strategy supports interest in the company, but investors will need confirmation that the spending is translating into additional revenue and profit.
Previously, Freedom Broker noted the attractiveness of Meta shares due to growth in the advertising business and AI implementation. At the same time, analysts warned that expanding infrastructure requires significant capital expenditures, while the timing of large-scale commercialization of new areas remains uncertain. The announced capital-raising plans once again make the balance between spending and future payback one of the key questions for investors.
