Freedom: the ADARx IPO investment case strengthens thanks to the AbbVie deal

A clinical portfolio of three drugs, a partnership with AbbVie (ABBV), and regulatory designations for the lead program have become key factors behind the upcoming IPO of ADARx Pharmaceuticals Inc., Freedom Broker analysts note. The biotech company plans to raise about $350 million at a valuation of roughly $1.64 billion, but its investment profile remains high-risk due to the absence of commercial products and ongoing losses.

What is ADARx 

ADARx Pharmaceuticals develops next-generation drugs based on small interfering RNA (siRNA). This technology makes it possible to target disease at the messenger RNA level and suppress the activity of specific genes without permanently altering a patient’s DNA. The company will list on the NASDAQ under the ticker ADRX.

ADARx IPO terms

ADARx Pharmaceuticals plans to offer 21.88 million shares at $15 to $17 per share. At $16, the midpoint of the stated range, the IPO size would be about $350 million, and the company’s market capitalization would be approximately $1.64 billion.

The company is in Phase 2 clinical development and is based in San Diego. Its drugs target, among other indications, kidney diseases, paroxysmal nocturnal hemoglobinuria, hereditary angioedema, and prevention of recurrent stroke.

Five programs make up the development portfolio

Freedom Broker analysts point to a diversified ADARx portfolio. Three drugs are already in clinical trials and target liver tissue. They are intended to treat complement-mediated diseases, hereditary angioedema, and thrombotic disorders.

Agazisiran is being developed to treat paroxysmal nocturnal hemoglobinuria, a rare disease in which the immune system destroys red blood cells, as well as complement-mediated kidney diseases and geographic atrophy of the retina. ADX-626 is being developed to prevent recurrent stroke and stroke in patients with atrial fibrillation. 

The company’s most advanced program is the injectable drug Onvuzosiran, designed to prevent attacks of hereditary angioedema. This is a rare disease in which patients experience sudden and potentially dangerous swelling.

In August 2026, the U.S. Food and Drug Administration granted Onvuzosiran Fast Track status. Earlier, the drug received orphan-drug designation for a rare disease. Clinical trial results are expected by the end of 2027.

AbbVie agreement предусматривает payments of up to $7.45 billion

As one of the main drivers of ADARx’s investment appeal, analysts cite its collaboration with pharmaceutical company AbbVie (ABBV). In May 2025, the parties entered into an agreement to jointly develop new siRNA-based drugs with an option for subsequent licensing.

ADARx received an upfront payment of $335 million. The contract terms also provide for up to $385 million for option extensions and exercises, as well as up to $7.45 billion in additional contingent payments upon achieving specified milestones. In addition, the company will be able to receive tiered royalties on sales of potential products.

The agreement confirms the interest of a major pharmaceutical company in ADARx’s technology platform. At the same time, most of the payments предусмотренные under the contract depend on further program progress and the achievement of clinical, regulatory, and commercial conditions.

The company remains loss-making

Despite the upfront payment from AbbVie, ADARx has not yet brought its own drugs to market and does not receive revenue from product sales. For the 12 months ended June 30, 2026, the company reported a net loss of $87.69 million on collaboration revenue of $6.13 million.

Thus, ADARx’s results in the coming years will depend on clinical trial progress, regulatory decisions, and continued funding. For biotech companies at this stage, trial delays or insufficient drug efficacy can materially affect business value.

ADARx enters an active market 

ADARx’s IPO is being prepared amid market debuts by companies from various fast-growing industries. Data center infrastructure provider Accelevation intends to raise up to $720 million at a potential market capitalization of $5.37 billion. Smart ring maker Oura expects to raise up to $3 billion at a valuation above $16 billion.

The market also expects possible offerings by AI infrastructure developers Nscale and SB Energy. Anthropic is considering a major IPO by the end of the year.
